Minerva – End User License Agreement – 22/01/20
1. Overview
These Terms specify how you may use the software named “Minerva” (the Application) which is licensed by Selene Systems Ltd to you, the End User, as per the charges outlined in the Service Contract. Your licence to use this Application is subject to your prior acceptance of this End User License Agreement, the Terms and Conditions and the Privacy Policy which you should read carefully before proceeding to use the Application. Your use of the Application means that you also agree to the terms of our End User License Agreement, the Terms and Conditions and the Privacy Policy. Together, these constitute the entire agreement between Selene Systems Ltd and the End User relating to the App. We reserve all rights in and to the Application not expressly granted to you under these Terms. References in these Terms to the Application includes any changes to or enhancements of the Application. 2. Definitions
“Terms and Conditions” | Means these terms and conditions of use as updated from time to time under clause 8. |
“End User License Agreement” | Means the end user license agreement between you and Selene Systems Ltd. |
“Privacy Policy” | Means the policy which governs how we process any personal data collected from you. |
“Content” | Means any text, image, video, audio or other multimedia content, or other information or material submitted to or otherwise contained in the Minerva Application |
“End User” , “You”, “Your” | Means the person accessing the Minerva Application |
“Selene Systems”, “Selene Systems Ltd”, “Selene Systems LTD”, “We”, “Us”, “Our” | Selene Systems Ltd a company registered in England and Wales under number 12185199, whose registered office is at 71-75 Shelton Street, London, Greater London, United Kingdom, WC2H 9JQ |
3. License
3.1 This Application is for your use only and you agree that you are solely responsible for all costs and expenses you may incur in relation to your use of the Application.
3.2 You agree that you are solely responsible for ensuring that your login and password (and other details associated with your account) remain confidential. We may prevent or suspend your access to the Application without notice if we reasonably consider that you have not complied with any part of these Terms or any terms or policies to which they refer or any applicable law.
3.3 We grant to you a non-transferable licence to use the Application on any computer and/or mobile device that you own or control. These Terms together with the End User License Agreement, the Terms and Conditions and the Privacy Policy shall govern all Content and materials accessible from the Application. You are not entitled to transfer or sublicense your use of the Application nor copy, reverse-engineer, attempt to derive the source code of, modify or otherwise misuse the Application or any part thereof.
4. Intellectual Property, usage and ownership rights
This Application and all intellectual property rights contained it are owned by Selene Systems Ltd. This includes, but is not limited to: source code, visual assets, copyright, trademarks, domain names, design rights, database rights, patents and all other intellectual property rights of any kind whether or not they are registered (anywhere in the world). Nothing in these Terms grants you any legal rights of or in the Application other than as necessary to enable you to access the Application and upload Content. No one other than a party to these Terms has any right to enforce any of these Terms.
5. Uploading information to the Application
5.1 You agree that we may collect, use and retain any and all personal data, as that term is used in data protection legislation (including the General Data Protection Regulation (GDPR) (EU) 2016/679), uploaded to the Application by you or on your behalf. Our use of your personal data is set out in the Minerva Privacy Policy.
5.2 You agree not to input or upload sensitive personal data (also known as special category data) to the Minerva Application. You agree that we may also collect and use technical data and related information, including but not limited to data about your device and system, to enable us to improve the Application, facilitate the provision of any updates to you or otherwise support your use of the Application.
6. Termination
These Terms shall be effective until terminated by you or us. Your failure to comply with any of these Terms will result in your rights hereunder terminating automatically.
7. Availability of the Application and Limitation of Liability
The Service is provided “as is” and on an “as available” basis. We give no warranty that the Service will be free of defects and / or faults. To the maximum extent permitted by the law we provide no warranties (express or implied) of fitness for a particular purpose, accuracy of information, compatibility and satisfactory quality. Selene Systems LTD accepts no liability for any disruption or non-availability of the Application resulting from external causes including, but not limited to, ISP equipment failure, host equipment failure, communications network failure, power failure, natural events, acts of war or legal restrictions and censorship.
8. Policy Changes
These Terms are dated 22 Jan 2020. No changes to these Terms are valid or have any effect unless agreed by us in writing. We reserve the right to vary these Terms from time to time. The updated terms will be displayed within the Application and/or the Selene Systems website (https://selenesystems.co.uk) by continuing to use and access the Application following such changes, you agree to be bound by any variation made by Selene Systems Ltd. It is your responsibility to check these Terms from time to time to verify such variations.
9. Law and Jurisdiction
These terms and conditions and the relationship between you and Selene Systems LTD shall be governed by and construed in accordance with the Law of England and Wales and Selene Systems LTD and you agree to submit to the exclusive jurisdiction of the Courts of England and Wales.
